Investment & Private Equity

How does a private equity investment work?

Understand funds, ownership, investment horizons and the main stages of a private equity investment.

From capital to ownership

Private equity investors provide capital to businesses that are not publicly listed, either directly or through a fund. Structures and investor rights vary substantially.

A fund manager may identify companies, perform due diligence, acquire interests and work toward an eventual sale or other exit. These steps involve costs and uncertainty.

Capital calls and long horizons

Some funds require investors to commit capital that is called over time rather than paid in full at the outset. Investors must understand these obligations before committing.

Investments may remain illiquid for years. Distributions depend on realizations and fund terms; they are neither regular nor guaranteed.

Questions to ask before investing

Review the offering documents, fees, conflicts of interest, governance, reporting, valuation methods and exit restrictions. Independent legal and financial advice may be appropriate.
